President, Chief Executive Officer & Chairman of the Board of Directors
John Hass was named interim president and chief executive officer of Rosetta Stone in April 2015 after serving as a director on the Rosetta Stone Board the previous year. One year later, Mr. Hass assumed those roles permanently and was also appointed Chairman of the Board of Directors. A former investment banker and CEO, he was a managing partner at Goldman Sachs prior to his retirement from the firm in 2006. Prior to that, he had an 18-year career as an advisor holding numerous senior roles primarily in New York and Chicago. He went on to serve as the CEO of OptionsHouse, an online brokerage firm, from the company's launch through its initial growth phase. More recently he has served on a number of public and private company boards, including Rosetta Stone.
In addition, John serves on the board of directors of WITNESS, Inc., a global-human rights nonprofit, and serves as a trustee of The Museum of Contemporary Photography.
Chief Financial Officer
Tom Pierno is responsible for all financial functions at Rosetta Stone, including accounting, finance, tax, investor relations, and treasury. He also oversees the company's global distribution and fulfillment functions.
Prior to joining Rosetta Stone in 2012, Tom served as CFO and directed supply-chain and IT operations at the marketing-communications firm Vertis Communications. Previously, he was vice president of Financial Planning and Treasury at Comverse Technology, a global provider of software and systems; in that role, he was responsible for worldwide budgets, forecasts, and treasury operations. Tom also served as senior vice president and controller at AOL for 11 years, during which he held various financial-leadership positions in the areas of subscription services, compliance, and strategic acquisition. Before that, Tom was CFO at World Color Press, a publicly traded printer of magazines, catalogs, direct mail, and books. He began his career at Ernst & Young as a certified public accountant.
Tom graduated summa cum laude with an MBA and BBA in accounting from Pace University. He speaks English and is learning Mandarin.
Sonia G. Cudd
General Counsel & Secretary
As General Counsel & Secretary, Sonia Cudd oversees legal, corporate governance, government affairs and compliance matters, as well as human resources for Rosetta Stone worldwide. Sonia joined our team in January 2015 from Keurig Green Mountain Inc., where she served as Vice President, Associate General Counsel – Corporate and Corporate Secretary.
Sonia has over 20 years of legal experience with Federal agency, large law firm and in-house counsel with multi-national organizations roles, including as Ethics and Employment Counsel at the Bill & Melinda Gates Foundation Trust, Assistant General Counsel and Assistant Corporate Secretary at McCormick & Co., Inc., at Blank Rome LLP, and at the US Securities & Exchange Commission. Prior to her practice of law, she was a financial analyst at Citicorp.
Sonia earned a BA in Finance and a BS in Economics from Hood College in Frederick, Maryland and a Juris Doctor from John Marshall Law School in Chicago, Illinois. Sonia speaks conversational Spanish and is learning Italian.
President, Global Enterprise & Education
Judy Verses is the President, Global Enterprise and Education and has been with Rosetta Stone since 2011. Judy is responsible for all institutional, literacy and language business across all geographies, and all functions necessary for success of E&E; specifically, product development, IT, Business Development and Global Communications.
Judy has extensive experience across business, government, education, and consumer sectors in technology, education and communications industries. She joined Rosetta Stone from Blackboard where she served as President and Chief Client Officer responsible for Global Sales and Marketing. Previously, she was President and COO of Blackboard Learn.
Prior to joining Blackboard, Judy held several senior leadership roles at Verizon. Notably, she successfully launched Verizon FIOS. Some of her roles included: SVP Marketing for Verizon's portfolio of voice, video and data products; SVP Broadband Solutions; Vice President for Business Sales; and Vice President/General Manager of Small Business Sales. Judy began her career with Xerox in sales. Judy holds a Bachelor of Science in Business Administration from the University of Connecticut and was a winner of the Washington Business Journal Award for "Women Who Mean Business" in 2009. She was recently announced as a Finalist in Women In Technology Annual Women in Leadership Awards. Judy is a former member of the Marketing 50 and has helped multiple small businesses in an advisory capacity.
SVP, Global Consumer
Philip Dunne is Senior Vice President, Global Consumer at Rosetta Stone and oversees all aspects of the company's consumer product division including marketing, ecommerce and product innovation. He specializes in understanding consumer needs, expectations and behavior, and developing product and marketing strategies that deliver positive results. Since joining Rosetta Stone in 2009, Philip has been at the helm of the digital transformation of Rosetta Stone's legacy language learning programs and the explosion of its mobile offerings.
Philip has an extensive background in the development and marketing of new technology businesses. At America Online (AOL) he enjoyed working on a wide variety of successful product launches in the digital imaging, entertainment, online security and data storage categories. Prior to that, Philip was a product manager at Cable & Wireless managing internet access and web hosting products. Earlier in his career, he worked in various finance and accounting roles and was a Fellow of the Chartered Association of Certified Accountants (FCCA) in the UK.
Philip holds a Masters in Business Administration (MBA) from Georgetown University and a Bachelor of Business Studies (BBS) in Finance from Dublin City University, Ireland. He is based out of Rosetta Stone's headquarters in Arlington, VA. He speaks English and is learning French.
President of Lexia Learning
Nick Gaehde is the President of Lexia Learning. He has been with Lexia since 2005, and became a member of the Rosetta Stone leadership team in 2013.
Nick brings to Rosetta Stone deep industry experience in literacy, software development and K–12 educational publishing. Having guided Lexia through several transformations, he has maintained a keen focus on the company's mission to help improve student literacy in schools and districts throughout the United States.
Prior to joining Lexia, Nick served as President of Educators Publishing Service, Inc. (EPS), a publisher of literacy solutions for the K–8 market. Before that, he held product management and marketing positions at Vertigo Development Group, Lotus Development Corporation, and New England Business Service. Nick has served on the boards of Massachusetts Branch of the International Dyslexia Society and ELLevation Education, a company focused on the needs of English language learners. In 2011, industry peers voted Nick as one of the five "EdNET Leaders to Watch," recognizing him for his significant contributions to the education industry. Nick attended Pitzer College, where he earned a B.A. in psychology with a focus on early childhood development, and earned his Master's at Boston University's School of Management. He speaks English and German.
Senior Vice President of Global Sales & Services
Robert joined Rosetta Stone in 2012 and serves as Senior Vice President of Global Sales and Services. Robert has a strong track record of generating consistent business growth as well as tremendous global experience both in the software space and the Education, Corporate and Government industry verticals.
Prior to joining Rosetta Stone, he was Vice President and General Manager at ProQuest and President of North America for the Ex Libris Group. Much of his corporate career was spent at SAS Institute where he progressed through multiple leadership roles to become Vice President and General Manager of the Latin American and Caribbean Division.
After earning a Bachelor's of Engineering degree with honors from Cardiff University, Wales, Robert was commissioned into the British Army where he served as a Captain in the Royal Engineers and the Queen's Gurkha Engineers.
Patrick W. Gross
Patrick W. Gross has served as a director since February 2006, including serving as Chairman of the Board of Directors from May 2013 to March 2016 and Chair of our Corporate Governance and Nominating Committee since May 2012. He previously served as Lead Independent Director of the Board from February 2012 to May 2013.
Since 2002, Mr. Gross has served as Chairman of The Lovell Group, a private business and technology advisory and investment firm that he founded. Prior to founding The Lovell Group, Mr. Gross was a founder, and served as a principal executive officer from 1970 to 2002, of American Management Systems, Inc., then a publicly traded information technology, consulting, software development and systems integration firm. Mr. Gross is a director of Capital One Financial Corporation, Career Education Corporation, Liquidity Services, Inc. and Waste Management, Inc. Mr. Gross also currently serves on the boards of several private technology-based companies.
Mr. Gross previously served on the boards of Computer Network Technology Corporation from 1997 to 2006, Mobius Management System, Inc. from 2002 to 2007 and Taleo Corporation from 2006 to 2012. He holds a B.S.E. from Rensselaer Polytechnic Institute, an M.S.E. from the University of Michigan and an M.B.A. from the Stanford Graduate School of Business.
James Bankoff was appointed to the Rosetta Stone Board of Directors in November 2012.
James is chairman and CEO of Vox Media Inc., publisher of the SB Nation family of sports communities; The Verge, a leading consumer-technology website; and Polygon, a website dedicated to covering the world of games and the people who love them. He has served in this capacity since January 2009. Prior to joining Vox Media, James served as a senior adviser with Providence Equity Partners, a leading private equity firm focused on media and telecommunications. Before joining Providence in 2008, he served as executive vice president of programming and products at AOL, where he led the development of and/or presided over AOL.com, TMZ.com, Moviefone, MapQuest, BloggingStocks, AOL Music, and Engadget. He also oversaw AOL's instant-messaging services, AIM and ICQ, and new social-networking and community applications, including Blogsmith and Netscape. James joined AOL in 1995 and held a number of leadership positions, including president, AOL web properties; president, Netscape; and vice president of strategy and operations, AOL brand.
James holds an MBA from the Wharton School of the University of Pennsylvania and a BA from Emory University.
Laurence Franklin has served on the Rosetta Stone Board of Directors since May 2006.
In July 2011, Laurence was named chief executive officer of Frette Srl, a manufacturer and retailer of luxury linens and home furnishings. He is the retired president and CEO of Tumi Inc., a manufacturer and retailer of luxury travel, business, and lifestyle accessories, where he served from January 2002 until March 2009. Prior to joining Tumi, Laurence served as president of Coach Leatherware Company Inc. and general manager of Elizabeth Arden Inc. He began his career in the audit division at Peat, Marwick, Mitchell & Co., and later worked in the Management Consulting Services group at Price Waterhouse & Co.
Laurence earned a BA from Colgate University and an MS from the New York University Graduate School of Business. He serves on the boards of two private companies in addition to his role at Rosetta Stone.
David Nierenberg was appointed to the Rosetta Stone Board of Directors in April, 2015. A professional investor in public and private equity since 1985, he has served on public, private, profit, and not-for-profit boards for over 30 years.
Mr. Nierenberg is Founder and President of Nierenberg Investment Management Company (NIMCO), which manages The D3 Family Funds, a family of investment partnerships which seek long term capital gain through investment in a concentrated portfolio of large block holdings in undervalued micro-cap public equities. The funds have $130 million under management.
Before founding NIMCO in 1996, Mr. Nierenberg was a General Partner of Trinity Ventures' first four venture capital partnerships where he invested in financial services, healthcare and other sectors. Prior to 1985, he was a Partner with Bain & Company, a business strategy consulting firm. Mr. Nierenberg also previously served as vice chair of the board of Peace Health Southwest Washington Medical Center, on the Governor's Council of Economic Advisors, on the board of Radisys Corporation, and as chair of the board of PSA Healthcare.
Mr. Nierenberg is currently co-chair of the Millstein Center for Global Markets and Corporate Ownership at Columbia University Law School and serves on the international research advisory board of Glass-Lewis. In addition, Mr. Nierenberg serves on the following boards: the Washington State Investment Board; the Southwest Washington Community Foundation; Kuni Foundation; Whitman College and the advisory board of Holt Distressed. He also chairs the investment committee for Whitman College endowment, and is the chair of the PSA Healthcare Board.
Mr. Nierenberg holds a Bachelor of Arts Degree, summa cum laude, from Yale College and a Law Degree from Yale Law School and is a retired member of the Massachusetts State Bar.
Laura L. Witt
Laura Witt has served on the Rosetta Stone Board of Directors since December 2005; she served as chair of the board from December 2005 to February 2011.
In September 1997, Laura joined ABS Capital Partners, a private equity-investment partnership, where she has been a general partner since January 2001. She served on the boards of Double-Take Software Inc. from 2002 to 2008 and Familymeds Group Inc. from 2004 to 2007. Laura currently serves on the boards of several private companies. She earned a BA from Princeton University and an MBA from the Wharton School of the University of Pennsylvania.
Steven P. Yankovich
Steven P. Yankovich was elected to serve as a Director on the Rosetta Stone Board in October 2014.
Steve has served as Vice President of Innovation & New Ventures at eBay Inc. since December 2012, where he leads the creation of mobile, e-commerce and retail technology and business innovations for eBay Inc. worldwide. Steve also has served on the Board of eBay Inc.'s independent nonprofit since 2013. Since 2011 Steve has been a Board Observer at Appcelerator (a leading mobile development platform startup) and a Venture Advisor at Relay Ventures, a mobile focused venture capital firm. From March 2009 to December 2012 Steve was Vice President of Mobile at eBay. Prior to eBay, Steve was an Entrepreneur In Residence at Adobe from September 2007 to December 2009. From April 1998 to June 2007 Steve was the Founder and Chief Technology Officer of Movaris Inc., an enterprise business process automation software company serving Fortune 500 companies.
Earlier in his career he served in various technical and technical management roles in the computer hardware and design automation space. As a technologist, Steve holds six patents and has 30 patents pending.
Caroline Tsay was appointed to the Rosetta Stone Board of Directors in December 2014.
Caroline is Vice President and General Manager of the Online Business at HP Software. HP Software is a leader in enterprise security, application lifecycle management, operations management, and big data and analytics software. She has served in this capacity since 2013. Prior to joining HP, Caroline held several product leadership positions at Yahoo!. Most notably, Caroline was Senior Director of Product Management for Yahoo! Search & E-Commerce (Yahoo! Shopping, Travel, Autos, and Homes), where she launched consumer internet innovations that drove 500 million daily visits and $3.5 billion in revenue. She began her career at IBM in the Global Services division advising on and implementing business process re-engineering and change management initiatives in supply chain management and customer relationship management.
Caroline has been recognized for several honors, including The National Diversity Council's Top 50 Most Powerful Women in Technology and Silicon Valley Business Journal's 40 Under 40.
Caroline holds an MS in Management Science and Engineering and a BS in Computer Science, both from Stanford University.
